Bar-Badhu Milan Community Matrimony Program Participation Agreement
This Participation Agreement (the “Agreement”) is a legal agreement that governs the relationship between the Nepal Cultural and Spiritual Center (referred to in this Agreement as the “NCSC)”), and any participant (referred to in this Agreement as the “Candidate”)in the NCSC Community Matrimonial Program (referred to in this Agreement as the “Program”.) Candidate and NCSC are collectively referred to in this Agreement as the “Parties.”
Recital
The purpose of this Agreement is to state the terms and conditions under which the Candidate will participate in the Program and receive assistance in connecting with other candidates, interested in matrimony.
In consideration of the mutual promises contained in this Agreement, Candidate and NCSC agree as follows:
Services Provided
1. The Program will provide services to Candidate consisting of the following:
a. Assistance from the Head Priest (hereinafter, “Program Coordinator”) in creating a brief introductory advertisement profile of the Candidate and what he or she is seeking in a matrimonial partner.
b. Placement of the profile on the NCSC web site in a section dedicated to participants in the Program.
c. Promotion of the Program through various media, including but not limited to, social medial viber group, mass email, and other platforms at the discretion of the Program Coordinator.
d. Screening of potential interested candidates by the Program Coordinator.
e. Upon approval of the Candidate, release of the Candidate’s personal information to the interested candidate by the Program Coordinator.
f. If the Candidates mutually desire to meet each other after the Program Coordinator provides the Candidates’ personal information, the Program Coordinator will arrange an introductory meeting, supervised by the Program Coordinator.
Eligibility
2. By enrolling in the Program, Candidate represents and warrants that Candidate: (a) is at least 18 years old; (b) has never been convicted of a felony or any criminal offense characterized as a sexual offense and is not required to register as a sex offender with any government entity; (c) has not previously been suspended or removed from the Program; (d) has the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement; (e) is not using the Program for reasons other than for its intended purpose; and (f) is not located in, under the control of, or a national or resident of any country which the United States has (i) embargoed, (ii) identified as a “Specially Designated National” or (iii) placed on the Commerce Department’s Table of Deny Orders.
Information Provided by the Candidate
3. Candidate further represents and warrants that any information provided by Candidate to NCSC for use in the Program will be complete and truthful. Candidate’s breach of this warranty will result in Candidate’s termination from the Program.
Confidentiality
4. Information regarding Candidate’s identity and contact information will be kept in the strictest confidence by the Program Coordinator, until Candidate authorized Program Coordinator to release the information to a potential match. Information that does not identify the candidate, but describes pertinent facts, including but not necessarily limited to his or her academic history, marital status, age and occupation will only be released after a potential match is screened for suitability by the Program Coordinator.
Fee
5. The Candidate shall pay an initial enrollment fee of $99.00 for the services when an application is submitted. The fee will be deemed fully earned and non-refundable upon receipt.
6. After the initial year of membership, Candidate may renew membership by paying an annual renewal fee. The renewal fee is currently $99.00, but is subject to change at the discretion of the NCSC.
Term of Agreement
7. The term of this Agreement shall begin on when the Candidate accepts the terms of this agreement, and shall continue in full force and effect for a period of twelve months.
Attorney’s Fees and Costs
6. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorney’s fees, costs, and necessary disbursements in addition to any other relief to which such party may be entitled.
Miscellaneous Provisions
Texas Law to Apply
7. (a) This Agreement shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the Parties created in this Agreement are performable in Tarrant County, Texas.
Parties Bound
(b) This Agreement shall be binding on and inure to the benefit of the Parties and their respective heirs, executors, administrators, legal representatives, successors, and assigns when permitted by this Agreement.
Legal Construction
(c) In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, that invalidity, illegality, or unenforceability shall not affect any other provision in this Agreement and this Agreement shall be construed as if the invalid, illegal, or unenforceable provision had never been contained in it.
Prior Agreements Superseded
(d) This Agreement contains the entire agreement of the parties with respect to the matters covered by its terms. No other agreement, statement, or promise made by any party, or to any employee, officer, or agent of any party, that is not contained in this contract shall be of any force or effect.
Partial Invalidity
(e) If any term or provision of this agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions of this agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
No Warranty
(f) NCSC makes no representations or warranties regarding any particular outcome resulting from Candidate’s participation in the Program, and nothing contained in this Agreement may be construed as any such representation or warranty.
As Is
(g) All confidential information provided to the Candidate though Candidate’s participation in the Program is provided “as is.” NCSC does not independently verify information provided by participants and makes no warranties with respect to its accuracy or completeness.
Assumption of Risk
(h) Candidate assumes all risk when participating in the Program, including but not limited to all risks associated with any online or offline interactions with others, including dating. CANDIDATE ACKNOWLEDGES THAT, CURRENTLY, NCSC DOES NOT ROUTINELY SCREEN USERS, INQUIRE INTO THE BACKGROUND OF USERS, ATTEMPT TO VERIFY INFORMATION PROVIDED BY USERS OR CONDUCT CRIMINAL SCREENINGS OF USERS. NCSC RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CONDUCT SUCH INQUIRIES OR SCREENINGS (INCLUDING THE SEARCH OF ANY SEX OFFENDER REGISTRIES). CANDIDATE FURTHER ACKNOWLEDGES THAT NCSC IS UNDER NO OBLIGATION TO CONDUCT ANY SUCH INVESTIGATIONS. NCSC makes no representations, warranties or guarantees as to the conduct of its users, information provided by users, or their compatibility with you. Candidate agrees to take all necessary precautions when meeting other users, especially when meeting in person or communicating by any method, including but not limited to telephone contacts, email or social media.
Release and Waiver
(i) By Signing this Agreement, Candidate hereby releases, waives, discharges and covenants not to sue the Nepal Cultural and Spiritual Center, and all its patrons and trustees, officers, agents, volunteers and employees, (hereinafter referred to as “Releasees”) from all liability to the undersigned, his/her personal representatives, assigns, heirs and next of kin for any and all loss or damage, and any claim or demands therefore on account of defamation or injury to the Candidate’s social reputation, personal injury and/or exposure to infectious syndromes or diseases, mental or emotional distress, depression, or injury to property, or resulting in illness and/or death of the Candidate arising either directly or indirectly from or related to Candidate’s participation in the Community Matrimonial Program, whether caused by the negligence of the releasees or otherwise. By participating in the Program, Candidate acknowledge he / she assumes all risks whether know or unknown.
Hold Harmless
(j) Candidate agrees to indemnify and save and hold harmless the Releasees and each of them from any loss, liability, damage, or cost they may incur arising out of or related to the event(s) whether caused by the negligence of the releasees or otherwise.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NCSC, ITS AFFILIATES, PATRONS AND TRUSTEES, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES, OR THE PROPRIETARY MATERIALS CONTAINED IN OR ACCESSED THROUGH THE SERVICE, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM NCSC, OR THAT RESULTS FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO NCSC’S RECORDS, PROGRAMS OR SERVICES. UNDER NO CIRCUMSTANCES WILL NCSC’S AGGREGATE LIABILITY, IN ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SERVICES, EXCEED THE GREATER OF (1) THE AGGREGATE AMOUNT OF FEES FOR PAID SERVICES PAID BY YOU DURING THE IMMEDIATELY PRECEDING SIX MONTHS OR (2) $50.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NCSC BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, IDENTITY THEFT AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS, MEETINGS OR OTHER INTERACTIONS WITH OTHER USERS OF THE SERVICES. THIS INCLUDES ANY CLAIMS, LOSSES OR DAMAGES ARISING FROM THE CONDUCT OF USERS WHO HAVE REGISTERED UNDER FALSE PRETENSES OR WHO ATTEMPT TO DEFRAUD OR HARM YOU.
SOME COUNTRIES AND JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU.

NCSC PROVIDES THE SERVICES AVAILABLE THROUGH ENROLLMENT IN THE PROGRAM ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, NCSC EXPRESSLY DISCLAIMS ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICES (INCLUDING ALL PROPRIETARY MATERIALS AND OTHER INFORMATION AND CONTENT CONTAINED THEREIN), INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
NCSC DOES NOT REPRESENT OR WARRANT THAT (A) CANDIATE’S USE OF THE PROGRAM SERVICES WILL BE SECURE, UNINTERRUPTED, COMPLETE, ALWAYS AVAILABLE, ERROR-FREE OR WILL MEET CANDIDATE’S REQUIREMENTS, (B) ANY DEFECTS IN THE SERVICES WILL BE CORRECTED OR (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NCSC DISCLAIMS LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, THE CONNECTIVITY AND AVAILABILITY OF THE SERVICES OR THE DELIVERY OF ANY MESSAGES.
NCSC DOES NOT HAVE ANY OBLIGATION TO VERIFY THE IDENTITY OF OR SCREEN THE PERSONS SUBSCRIBING TO OR USING THE SERVICES, NOR DOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF THE SERVICES BY OTHER USERS OF THE COMMUNITY. THEREFORE, NCSC DISCLAIMS ALL LIABILITY FOR YOUR INTERACTIONS WITH AND THE CONDUCT OF OTHER USERS AND FOR IDENTITY THEFT OR ANY OTHER MISUSE OF YOUR IDENTITY OR INFORMATION.
NCSC DOES NOT: (i) GUARANTEE THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY INFORMATION ON THE SERVICES, OR (ii) ADOPT, ENDORSE OR ACCEPT RESPONSIBILITY OR LIABILITY FOR THE CONDUCT OF ANY USERS OR MEMBERS OR FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, OR STATEMENT MADE BY ANY PARTY OTHER THAN NCSC. UNDER NO CIRCUMSTANCES WILL NCSC BE RESPONSIBLE FOR ANY LOSS, DAMAGE OR HARM OF ANY KIND RESULTING FROM ANY USER CONDUCT OR FROM ANYONE’S RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON THE SERVICES, OR TRANSMITTED TO OR BY ANY USERS.
